# Terms of Service

## 1. Who we are and these Terms

Podda is operated by Devise Labs Ltd (company number 17105170), a company registered in England and Wales with its registered office at 128 City Road, London, EC1V 2NX ("we", "us" or "our").

These Terms of Service govern your use of Podda. They incorporate our [Acceptable Use Policy](/acceptable-use). Our [Privacy Notice](/privacy) explains how we handle personal information. If there is a conflict, these Terms take priority over the Acceptable Use Policy.

By creating an account you agree to these Terms. If you do not agree, do not create or use a Podda account.

## 2. Who may use Podda

You must be at least 13 years old. If you are under 18, or cannot legally agree to these Terms where you live, you may use Podda only with permission from a parent or legal guardian who agrees to these Terms for you. Podda may be used for personal, household or business purposes. If you use Podda for or on behalf of an organisation, you confirm that you have authority to bind it to these Terms, and "you" includes that organisation. Podda is not offered for regulated services, safety-critical activity or any other use prohibited by the [Acceptable Use Policy](/acceptable-use).

You must provide accurate account information, keep your sign-in methods secure and tell us promptly at [legal@podda.app](mailto:legal@podda.app) if you believe an account or app has been compromised.

## 3. What Podda provides

Podda lets an owner create AI-assisted apps, store app data and files, deploy generated code, add members and approve limited connections to external services. The owner controls each app's access. An invite-only app admits only people invited by email. A link app lets anyone the owner shares its secret link with join as a member after signing in. An owner may also separately confirm public access, which lets anyone with the app's URL open it without signing in and lets anonymous guests read and change its shared app data and files. Returning an app to invite-only or link access does not undo information previously disclosed through public access.

Podda is a developing service. Features, limits, integrations and supported assistants may change. We may improve, replace or discontinue a feature where reasonably necessary. If a change materially reduces a paid service, we will give reasonable notice where practicable and preserve any rights you have under applicable consumer law.

We do not promise uninterrupted or error-free operation. Maintenance, security incidents, provider failures and changes to third-party services may interrupt availability.

## 4. Owners, members and invitations

The person who creates an app is its owner. Owners decide whom to invite, whether to enable link or public access, which generated versions to activate and which exact external origins an app may contact. Owners must review these decisions carefully and may remove a member, change the app's access mode or revoke an external connection at any time.

Every member uses their own account and is separately bound by these Terms. Invitations are for one verified email address, apply to one app, expire after 24 hours and may be used once. You must not forward an invitation or allow another person to use your account.

Removing a member stops future access but does not undo information the member lawfully saw or exported while they had access. Restoring an earlier code version does not restore or rewind app data, files, memberships or external-access grants.

## 5. Your content and our limited licence

You retain ownership of content you submit to Podda, including app descriptions, files, app data and code that you own. You are responsible for having the rights and permissions needed to provide and use it.

You grant Devise Labs Ltd a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit, execute, secure, scan when legally required, back up and display your content only as reasonably necessary to operate, protect and improve Podda, provide requested support, comply with law and enforce these Terms. This licence ends when the content is deleted, except for limited backup copies, legal preservation and evidence retained for applicable legal and operational periods.

We do not sell your content, use private app content to create advertising profiles or use private app content to train general-purpose AI models.

## 6. Generated code and AI output

Podda may use AI systems to help create or modify apps. Generated code and other AI output can be incomplete, inaccurate, insecure, offensive or similar to material produced for someone else. You must review output before relying on it and keep appropriate backups of information that matters to you.

Do not use Podda or its output for medical, legal, financial, employment, insurance, safeguarding or other regulated decisions, emergency response, physical control systems or any activity where an error could cause death, injury, significant financial loss or denial of an important right.

AI and connected-service providers may impose their own terms. Podda does not grant rights in third-party material or guarantee that output is non-infringing.

## 7. Content and activities that are not allowed

You must follow the [Acceptable Use Policy](/acceptable-use). Among other things, you must not store, create, request, distribute or facilitate illegal content; child sexual abuse material; grooming; terrorist content; credible threats; fraud; malware; pornography; non-consensual intimate imagery; unlawful hate, harassment or surveillance; intellectual-property or privacy violations; or attempts to defeat Podda's security and limits.

Do not submit the high-risk data listed in the [Acceptable Use Policy](/acceptable-use), including personal information about children under 13, sensitive or safeguarding information about anyone under 18, health records, payment-card or banking information, government identifiers, biometrics, credentials, precise-location histories or regulated employment or client records.

## 8. External connections

An owner may approve a generated app's access to an exact HTTPS origin and, for server access, particular methods. The external provider then receives whatever information the app sends. The owner and members are responsible for understanding that provider's terms and privacy practices and for sending only appropriate information.

We may block an unsafe destination, method or request even if an owner previously approved it. Revoking access prevents new requests but cannot retrieve information already sent to an external provider.

## 9. Subscriptions, renewals and payment

Podda may offer monthly and annual auto-renewing subscriptions. There is no free trial unless checkout expressly says otherwise. Before payment, checkout will display the plan, final tax-inclusive or localised total, billing cadence, next charge and renewal terms.

Where Stripe Managed Payments is used, Link, a Stripe service, is the merchant of record and its payment terms apply at checkout. Devise Labs Ltd remains responsible for providing and supporting Podda. Stripe and Link may handle payment processing, tax, receipts, transaction support, refunds and payment disputes.

Your subscription renews automatically at the stated cadence until cancelled. You may cancel at any time through the Link subscription-management flow. Cancellation stops future renewal and access normally continues until the end of the paid period, unless a refund or mandatory law requires a different result.

We offer a full refund of the first subscription charge if requested within 14 days of purchase. This policy does not limit any stronger cancellation, refund or conformity rights under applicable consumer law. Refunds after that period are not guaranteed except where required by law or expressly agreed.

We will aim to remind annual subscribers at least 30 days before renewal. We will give at least 30 days' notice before a price increase applies to a future renewal. You may cancel before the new price takes effect.

## 10. Moderation and enforcement

We may investigate reports and use proportionate measures to protect people, the service and providers. Measures may include restricting a feature, quarantining or removing an object, disabling an app or account, preserving evidence, reporting to a competent authority and terminating access.

We may act without advance notice where delay could create harm, compromise security, destroy evidence or breach law. Otherwise, we will provide a reason where reasonably possible and explain how to appeal. See our [Safety and Reporting page](/safety).

## 11. Your choice to stop and our right to terminate

You may stop using Podda and request deletion by emailing [legal@podda.app](mailto:legal@podda.app). Owned apps are deleted rather than silently transferred unless we expressly agree a lawful transfer with you before deletion begins.

We may suspend or terminate access immediately or on shorter notice for a serious or repeated breach, non-payment, a legal requirement, or a security or safety risk. Where the issue can reasonably be remedied, we will normally give notice and an opportunity to do so. Sections that by their nature should survive—including ownership, accrued payment obligations, liability, dispute and evidence provisions—continue after termination.

For any other lawful business or operational reason, including discontinuing Podda, we may terminate an account by giving at least 30 days' notice. If we terminate a paid account for such a reason, we will refund prepaid fees covering the unused period and, where reasonably practicable, provide an opportunity to export your content before termination. After termination, we may delete the account, apps and content in accordance with our [Privacy Notice](/privacy) and applicable retention obligations.

## 12. Our responsibility to you

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or your mandatory consumer rights.

If you use Podda for business purposes, we are not responsible for loss of profit, revenue, business, anticipated savings, goodwill or business opportunity, or for indirect or consequential loss, except where liability cannot lawfully be limited.

You remain responsible for decisions made using generated apps and for keeping independent copies of irreplaceable information.

## 13. Changes to these Terms

We may change these Terms to reflect service changes, law, security or clearer wording. We will publish the effective date and version.

## 14. Governing law and disputes

These Terms are governed by the law of England and Wales. The courts of England and Wales have jurisdiction, but if you are a consumer resident elsewhere, you keep the benefit of mandatory local law and may bring proceedings in any local court that applicable law allows.
